Corporate Governance Code

Introduction

The Hakrinbank attaches great importance to a good, up-to-date Corporate Governance Code. This Code contains guidelines for the actions of Hakrinbank N.V. bodies, and is an important instrument for the functioning of these bodies. It creates guarantees for sound management and optimal transparency. As a result, it is important for all stakeholders involved in the company and its affiliated enterprise. In this case, those are formed by the shareholders, employees, customers, government, suppliers, and society as a whole.

Our bank was the first Surinamese-owned company to introduce a Corporate Governance Code a few years ago. We are fulfilling our ambition to maintain Suriname’s leading role in this area by introducing a new code, which is fully adapted to the times. The Corporate Governance Code of the Central Bank of Suriname for the banking sector has been the starting point for the formulation of this code, as has the document Principles for Enhancing Corporate Governance (Bank for International Settlements (BIS), October 2010).

The Executive Board and the Supervisory Board are responsible for the implementation of the corporate governance structure, and compliance with the code. In the annual report, these bodies inform the General Meeting of Shareholders on the policy pursued in this regard.
